Assistant Corporate Secretary
The Assistant Corporate Secretary is responsible for supporting the office of the Corporate Secretary of Westminster Savings and its subsidiaries on matters of corporate governance policies and guidelines. Reporting to the Corporate Secretary, the Assistant Corporate Secretary is responsible for a variety of tasks including:
Coordinate Board and Committee meetings, including preparation of and documentation for meetings of the general membership, Board of Directors, and assigned committees.
Track and report on outstanding agenda and pending business items
Support registration and corporate governance matters for the Annual General Meeting
Act as recording secretary for Board and Committee meetings, and compose minutes for distribution
Coordinate agenda preparation and scheduling of invited guests for Board and committee meetings.
Maintain corporate records for WSCU and its subsidiaries
Research and compile data, and draft or edit correspondences and reports, as appropriate.
Remain current on regulatory requirements and corporate governance standards
Keep abreast of changing legislation with particular focus on the Credit Union Incorporation Act (CUIA) and the Financial Institutions Act (FIA) as well as relevant Governance Guidelines.
Prepare and recommend changes to the Guidelines, Governance and Structure including by-laws for the WS Foundation Board and Terms of Reference for the subsidiary companies.
Assist with the communication of legislative and regulatory changes as appropriate.
Maintain official minute books and annual filings
Tracking Director education, compensation and producing reports
Assist with travel and accommodation arrangements for the Chair and members of the Board
Provide back up support for Executive Assistants reporting to the Executive Leadership Team members as required.
Assist with event/meeting planning and coordination, including site management, catering services and material preparation as needed.
Other duties as assigned
Your skills and experience:
Minimum 3-5 years’ experience within the financial services industry, a public company or law firm, ideally within a corporate governance environment
Completed post-secondary education in a related discipline (or an equivalent combination of education and experience)
Superior knowledge of governance, legislation and compliance best practices.
Proven ability to work effectively with senior executives and Board members.
Ability to exercise sound judgement and discretion on confidential and sensitive matters.
Excellent customer service, problem-solving, organizational and time management skills and ability to work under pressure and meet deadlines.
High personal standards, self-motivated with an ability to work with limited supervision.
Excellent interpersonal and communication skills with the ability to interact both verbally and in writing with a diverse group of people.
High level of detail orientation
Intermediate to advanced skill level with MS Programs (Outlook, Word, Excel, and PowerPoint).
This position is Monday to Friday and located at our Corporate Centre in New Westminster.
Professional development towards a Chartered Secretaries designation is an asset.
